for Shreya Software Services Private Limited

Introduction

Thank you for selecting the services offered by Svayam ERP, an exclusive ERP solution designed for managing consumer electronics showrooms. These terms of service (“Agreement”) constitute a legal agreement between you (“Client,” “User,” or “You”) and Svayam ERP (“We,” “Our,” or “Us”). By installing, accessing, or using our software, you agree to these terms. If you do not agree with these terms, you may not access or use Svayam ERP.

Trademarks

“Svayam ERP,” its logo, and other associated marks are trademarks of Shreya Software Services Private Limited. Any unauthorized use of these marks is strictly prohibited. The right to display or use these trademarks requires our prior written consent.

License and Usage

Svayam ERP grants you a non-exclusive, non-transferable, limited license to use the software. You agree that your use of the software will be in strict compliance with all applicable laws and regulations.

User Responsibility

You are responsible for all content (e.g., data, text, software, audio, graphics, videos) uploaded or stored using Svayam ERP. You agree not to use the software for unlawful purposes or to engage in prohibited activities, such as fraud, money laundering, and embezzlement. Svayam ERP reserves the right to suspend or terminate accounts involved in illegal activities, report such activities to the authorities, and take further legal action where necessary.

Data Security and Backup

You are solely responsible for regularly backing up your data. While we take industry-standard precautions to protect your data, we do not guarantee against any loss or damage to your content. You must ensure that your use of Svayam ERP complies with all applicable laws related to data privacy, storage, and security.

Prohibited Activities

You agree not to upload, transmit, or distribute content that:

  • Contains viruses, worms, or malicious software.
  • Infringes upon the intellectual property rights of third parties.
  • Violates the privacy rights of others.
  • Is illegal or promotes illegal activities.

Service Specific Terms

This agreement consists of general terms and specific terms governing the use of individual services. In case of a conflict, the service-specific terms shall prevail.

Svayam ERP provides features such as inventory management, accounting, and other tools essential for consumer electronics stores. However, no service is guaranteed to be flawless or available at all times. All services are provided on an “as-is” and “as-available” basis.

Disclaimer of Warranties

Svayam ERP disclaims all warranties of any kind, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the software will operate uninterrupted, be error-free, or that any defects will be corrected. Any material downloaded or obtained through our software is done at your own risk, and you are solely responsible for any damage to your systems.

Limitation of Liability

In no event shall Svayam ERP be liable for:

  • Any indirect, incidental, or consequential damages, including but not limited to lost profits or loss of data.
  • Any damages resulting from unauthorized access to or use of your account, servers, or content.
  • Any damages resulting from interruptions or cessation of service.
  • Any damages resulting from third-party conduct or errors in content provided through Svayam ERP.
  • Our total liability to you for all damages,
  • regardless of legal theory, shall not exceed the fees paid by you for using Svayam ERP in the past 12 months.

Data Privacy and Security

Your privacy is of utmost importance. By using Svayam ERP, you agree to our privacy policy, which explains how we collect, use, store, and protect your personal information. We reserve the right to access and disclose your information when required to do so by law or to protect our rights or the safety of others.

User Content and Intellectual Property

You retain ownership of all data and content you upload. However, by using our services, you grant Svayam ERP a global, royalty-free, and non-exclusive license to use, host, and process your content for the purposes of providing our services.

You may not upload any content or data you do not have permission to use. Svayam ERP will not be liable for any disputes arising from your improper use of content protected by copyright, trademark, or other intellectual property rights.

Termination and Suspension of Accounts

Svayam ERP reserves the right to suspend or terminate your account in the following cases:

  • Violation of these terms or illegal use of the services.
  • Prolonged inactivity.
  • Non-payment of subscription fees.
  • Any suspected fraudulent activities.
  • Upon termination, all licenses granted to you under this agreement will cease, and you must immediately discontinue all use of Svayam ERP.

Indemnification

You agree to indemnify and hold Svayam ERP, its officers, employees, and affiliates harmless from any claims, damages, liabilities, and expenses arising from your violation of these terms, use of the services, or breach of any third-party rights.

Right to Amend

We reserve the right to update or modify these terms at any time. You will be notified of any changes via email or through the software interface. Your continued use of Svayam ERP after such modifications constitutes your acceptance of the updated terms.

Governing Law and Dispute Resolution

This agreement is governed by the laws of India. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in Maharashtra, India. We encourage you to resolve any disagreements with us informally before resorting to legal proceedings.

Force Majeure

Svayam ERP shall not be liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, cyber-attacks, labor disputes, power failures, and governmental restrictions.

Survival

Provisions related to intellectual property, limitation of liability, indemnification, and data protection shall survive the termination or expiration of this agreement.

Marketing and Communication

By using Svayam ERP, you agree to receive marketing communications, newsletters, and updates. You can opt-out at any time by following the instructions provided in the communication or contacting our support team.

Taxes

You are solely responsible for determining and paying any taxes related to your use of Svayam ERP. We do not calculate, collect, or remit taxes on your behalf.
